These Terms constitute a binding legal agreement between you and Global Strategic Solutions, LLC, a Utah limited liability company, including its trade names Magnum Performance Labs and Gold Standard Regenerative (collectively, "GSS," "we," "our," or "us"), governing your access to and use of our website (the "Site") and any services we provide through the Site (the "Services").
By accessing or using the Site or the Services, you represent that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, our Website Legal Disclosures and Important Notices, our Refund and Cancellation Policy, and any other policy or agreement referenced on the Site. If you do not agree to these Terms, you may not access or use the Site or the Services.
You must be at least eighteen (18) years of age and have full legal capacity to enter into binding agreements to use the Site or the Services. If you are accessing the Site or Services on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms. The Site and Services are not directed to, or intended for use by, children.
The Site provides educational and marketing information about regenerative medicine, aesthetic services, wellness services, and medical tourism. Through the Site, you may submit inquiries to GSS, receive information about independent licensed medical providers located outside the United States, and engage GSS to provide non-medical concierge and coordination services in connection with travel to such providers.
GSS is not a medical provider. The Services do not include medical care, advice, diagnosis, treatment, or prescription. Your use of the Site or the Services does not create a physician-patient relationship with GSS. All medical care is provided exclusively by independent licensed providers outside the United States. You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:
Any feedback, comments, suggestions, ideas, or other materials you submit to us through the Site or otherwise ("Submissions") are non-confidential and non-proprietary. You grant us a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, display, and create derivative works of your Submissions for any purpose, without compensation to you. You represent that you have all necessary rights to grant this license and that your Submissions do not violate any third-party right or applicable law.
Do not submit confidential, proprietary, or sensitive personal information (including detailed medical history) through general inquiry forms or unsecured channels. Use only the secure intake mechanisms we provide.
The Site and all content on it, including text, graphics, logos, images, photographs, video, audio, software, design, layout, and code, are owned by GSS or its licensors and are protected by U.S. and international copyright, trademark, trade dress, patent, and other intellectual property laws.
"Global Strategic Solutions," "Magnum Performance Labs," "Gold Standard Regenerative," and associated logos and designs are trademarks of GSS. Other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners.
Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, publish, display, perform, modify, adapt, translate, create derivative works of, transmit, sell, license, or otherwise use any Site content without GSS's prior written permission. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes in accordance with these Terms.
The Site may contain links to, or content from, third parties, including independent medical providers, regulatory authorities, scientific publications, and informational resources. We do not control these third parties and are not responsible for their content, accuracy, policies, or practices. Links to third parties do not constitute endorsement. Your use of any third-party content or website is at your own risk and is subject to the terms of that third party.
Your use of the Site and Services is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and share information about you.
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, OR AVAILABILITY. GSS DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW.
Without limiting the foregoing, GSS does not warrant that: (a) the Site or Services will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Site or any server is free of viruses or other harmful components; (d) any information on the Site is accurate, complete, or current; or (e) any medical procedure, product, or therapy described on the Site will produce any specific outcome.
GSS IS NOT A MEDICAL PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE. NOTHING ON THE SITE OR IN THE SERVICES IS A SUBSTITUTE FOR PROFESSIONAL MEDICAL EVALUATION, DIAGNOSIS, OR TREATMENT. ALL MEDICAL CARE IS PROVIDED BY INDEPENDENT FOREIGN PROVIDERS, AND GSS DISCLAIMS ALL LIABILITY FOR THE ACTS, OMISSIONS, OR OUTCOMES OF SUCH PROVIDERS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GSS, ITS AFFILIATES, OR ITS OWNERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES, ANY CONTENT ON THE SITE, ANY ACTION OR INACTION OF ANY INDEPENDENT MEDICAL PROVIDER, OR ANY OTHER MATTER RELATING TO THE SITE OR SERVICES, REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH CLAIM IS BROUGHT (INCLUDING CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR OTHERWISE), EVEN IF GSS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GSS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GSS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or other liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you in full.
You agree to defend, indemnify, and hold harmless GSS, its affiliates, and its owners, managers, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of or access to the Site or Services; (ii) your violation of these Terms or any other policy referenced on the Site; (iii) your violation of any law or the rights of any third party; (iv) any content or information you submit to or through the Site; or (v) your decision to undergo or not undergo any medical procedure.
We may suspend or terminate your access to all or part of the Site or Services at any time, with or without notice, for any reason or no reason. Upon termination, your right to access and use the Site and Services ceases immediately. Sections that by their nature should survive termination, including disclaimers, limitations of liability, indemnification, dispute resolution, and intellectual property, will survive.
These Terms and any dispute arising out of or relating to these Terms, the Site, or the Services will be governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except as set forth in Section 15.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services (a "Dispute") will be resolved by binding arbitration administered by JAMS in Salt Lake City, Utah, before a single arbitrator, in accordance with the JAMS Comprehensive Arbitration Rules and Procedures then in effect. Judgment on the award may be entered in any court of competent jurisdiction.
YOU AND GSS EACH AGREE THAT ANY DISPUTE WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MULTIPLE PARTIES OR PRESIDE OVER ANY FORM OF CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
You may opt out of this Section 15 by sending written notice to coo@goldstandardregenerative.com within thirty (30) days of your first use of the Site or Services. Your notice must include your full name, address, and a clear statement that you wish to opt out of the arbitration and class action waiver provisions. Opting out does not affect any other provision of these Terms.
Nothing in this Section 15 prevents either party from: (a) bringing an individual claim in small claims court if eligible; or (b) seeking injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property, confidentiality, or unauthorized access.
If the class action waiver in Section 15.2 is held to be unenforceable in any respect, then the entirety of Section 15 will be void, but the remainder of these Terms will remain in force.
We may modify these Terms from time to time. The "Last Updated" date at the top of these Terms reflects the date of the most recent revision. Material changes will be communicated through a notice on the Site. Your continued use of the Site or Services after a change takes effect constitutes your acceptance of the revised Terms.
The Site is operated from the United States. We make no representation that the Site or Services are appropriate or available for use in any particular location. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with applicable local laws.
GSS will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including (without limitation) acts of God, war, terrorism, civil disturbance, governmental action, pandemic, internet failure, supplier failure, or labor disputes.
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms or our rights at any time without notice. These Terms bind and inure to the benefit of the parties' successors and permitted assigns.
A failure or delay by GSS to enforce any provision of these Terms is not a waiver of that provision. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to be enforceable.
These Terms, together with the Privacy Policy, Cookie Policy, Website Legal Disclosures and Important Notices, Refund and Cancellation Policy, Affiliate and Endorsement Disclosure, and any other policy or agreement expressly incorporated by reference, constitute the entire agreement between you and GSS with respect to the Site and Services and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic).
